Article 1 - Definitions

‍1.1. Ads Intelligence B.V. the private company, with its registered office at Zuiderkuipen 1, 9711 HR Groningen Netherlands, registered with the Chamber of Commerce under number 98428985.

1.2. Customer: any natural or legal person who uses the services of Ads Intelligence.

1.3. Agreement: any written or digital agreement between Ads Intelligence and the Customer about the provision of services.

1.4. services: all forms of digital marketing provided by Ads Intelligence, including (but not limited to) setting up and managing campaigns, search engine optimization, content creation, and developing online strategies.

1.5. In writing: this also includes communication by e-mail, unless otherwise expressly agreed.

Article 2 - Scope of the terms

‍2.1. These terms and conditions apply to all offers, proposals, agreements and deliveries made by Ads Intelligence, unless otherwise agreed in writing.

2.2. Deviations are only valid if confirmed in writing by both parties.

2.3. Any general terms and conditions of the Customer are expressly excluded.

Article 3 - Offers and offers

‍3.1. All Ads Intelligence offers are non-binding, unless otherwise stated in writing, and are valid for 30 days from the date.

3.2. An obvious error or error in a quote absolves Ads Intelligence from being bound by it, if the Customer could reasonably have understood this.

3.3. An agreement takes effect as soon as the Customer agrees in writing to an offer from Ads Intelligence or when Ads Intelligence confirms an order in writing.

Article 4 - Execution of the assignment

‍4.1. Ads Intelligence performs the agreed activities with the care and expertise that can be expected from a professional agency.

4.2. The Customer is responsible for providing all necessary information and materials in a timely and complete manner.

4.3. Ads Intelligence is not liable for damage resulting from the use of incorrect or incomplete information provided by the Customer.

Article 5 - Rates and payment

‍5.1. All amounts mentioned are exclusive of VAT, unless explicitly stated otherwise.

5.2. Payment must be made within 14 days of the invoice date, unless otherwise agreed in writing.

5.3. In case of late payment, Ads Intelligence is entitled to charge statutory interest and extrajudicial collection costs.

Article 6 - Intellectual Property

‍6.1. All works developed by Ads Intelligence — including campaigns, strategies, texts and designs — remain the property of Ads Intelligence unless otherwise specified in writing.

6.2. Without the prior written consent of Ads Intelligence, the Customer is not allowed to copy, publish or use these works commercially.

Article 7 - Liability

‍
7.1 Ads Intelligence is only liable for direct damage that is the direct result of an attributable shortcoming. Any form of consequential damage — including loss of turnover or profit, reputational damage, missed savings or business downtime — is expressly excluded.

7.2 Ads Intelligence's liability is in all cases limited to the amount paid out by its liability insurer, plus the deductible. If the insurer does not pay, a maximum equal to the invoice value of the part of the agreement to which the liability relates applies.

7.3 Damage must be reported in writing within thirty (30) days of discovery, under penalty of forfeiture of law. The Client indemnifies Ads Intelligence against all third-party claims related to or arising from the execution of the agreement.

Article 8 - Termination and termination

‍8.1. Both Ads Intelligence and the Customer can terminate the agreement in writing with 30 days' notice, unless otherwise agreed.

8.2. Ads Intelligence reserves the right to terminate the agreement immediately if the Customer files for bankruptcy, is granted a suspension of payments or is otherwise unable to meet its obligations.

Article 9 - Privacy and Data Protection

‍9.1. Ads Intelligence processes personal data only in accordance with applicable privacy legislation, including the General Data Protection Regulation (AVG).

Article 10 - Applicable law and disputes‍

10.1. All agreements between Ads Intelligence and the Customer are exclusively governed by Dutch law.

10.2. Disputes will only be submitted to the competent court in the district where Ads Intelligence is located.
